Mergers and acquisitions
Our services cover the entire spectrum of corporate transactions, including public and private takeovers, management buyouts, leveraged buyouts, and asset deals, where we represent bidders, targets, financial advisers, merchant bankers, and other parties. We represent clients in all M&A stages – from due diligence investigation and negotiation of transaction documents to advising on legal aspects of post-acquisition integration process.
Corporate advisory
Our corporate advisory work involves advice on all aspects of company law, including advice in relation to incorporation of business, corporate restructurings and reorganisations, increases and reductions of capital, constitutional matters, statutory and regulatory compliance, reporting and disclosure requirements, shareholder meetings and agreements and corporate governance matters.
Corporate recovery
We provide services in corporate recovery matters – from advising directors on their duties and liabilities to debt rescheduling and debt to equity conversions. We advise on insolvency options and procedures. Our services also include representation of creditors in cases of bankruptcy, restructuring or liquidation.
Banking and finance
We are able to advise lenders, borrowers, sponsors, fund managers and investors in the areas of leveraged finance, acquisition and property finance, capital markets, corporate lending and leasing, restructurings and rescues. In the sphere of banking our work includes consulting on banking laws and regulations, representation at regulatory authorities, advising on and documenting loan and other banking transactions.
Commercial contracts and trade
We deal with negotiation, drafting and advise on a wide variety of commercial agreements (agency and distribution, manufacturing, outsourcing, franchising, advertising, marketing, etc) and all aspects of trading law (including unfair contract terms, consumer law, product liability and trading standards).
Competition
We advise on various aspects of competition law ranging from competition law implications of mergers and acquisitions to restrictive commercial agreements and abuses of a dominant position. We represent clients in merger control procedures as well proceedings concerning abusive practices. Our work also includes assistance to clients in obtaining regulatory clearances of contemplated business arrangements. In connection to this, we provide strategic advice regarding new corporate strategies affecting competition matters.
Public procurement
Our work involves advising on public procurement matters, particularly with respect to public procurement rules and procedures. We represent clients in tenders, as well as negotiate and document public procurement transactions.
IT and e-commerce
Our expertise includes legal aspects of software development and licensing, as well as database and data protection. E-commerce includes such areas as on-line business terms, distance selling rules, web-design or hosting arrangements. We draft and negotiate a wide range of contracts and arrangements for technology-driven business.
Media and intellectual property
We advise on contracts for the acquisition and exploitation of a wide range of intellectual property rights. Our work includes registration of trade names, trademarks, industrial design and patents. We also advise on a variety of media transactions including broadcasting contracts, sponsorship and promotion agreements and new media exploitation.
Real estate and construction
We offer comprehensive legal services for real estate business. We assist our clients in such matters as the structuring of transactions and ownership interests, acquisition and sale of properties, obtaining applicable permits, negotiating and administering construction contracts, obtaining construction and long-term financing, and leasing. We advise on public law, covering all legal aspects of planning, environmental protection and historic site preservation. We also advise on a day-to-day basis with all aspects of the active management of clients’ property investments, including leases and other commercial arrangements.
Taxation
Our tax services encompass advising clients on various tax matters such as direct and indirect taxation of business, individual income taxation, multi-jurisdictional and EU tax implications, double taxation avoidance agreements. We have extensive expertise in advising on tax aspects of complex corporate, M&A, and real estate transactions, employee benefit schemes, share options. We used to advise foreign businesses on structuring of their activities in Lithuania where our work covers tax planning and optimization issues. We also advise individuals on tax issues related to their coming to or leaving Lithuania.
Employment
We advise our clients on their day-to-day employment issues, such as negotiating and drafting of employment contracts, resolving of problems in ongoing employment and handling the amicable or disputed severance of employees. We also counsel clients concerning reductions in labor force, employee transfers, non-competition and other supplementary agreements, reorganizations and outsourcing, employee benefit schemes and share options, as well as other employment matters. We also assist our clients in developing and implementation of their HR strategy and policy. We deal with employment issues arising in connection with mergers and acquisitions, including post-integration phase. We provide a service to businesses operating in Lithuania which wish to employ foreign nationals. We advise on obtaining permits allowing employees to stay and work in Lithuania.
Litigation and dispute resolution
We represent our clients in the core areas of corporate, property, tax and intellectual property dispute resolution. Our attorneys are admitted to litigate in the courts of all instances of the Republic of Lithuania. We also represent clients in the process of enforcement of court judgements and arbitration awards.
